The problem is:

1. California wastes it's tax revenues but wants even more to waste. What better way to get it than by stealing it from the large and evil corporations.

2. Too damn many lawyers with not enough to do. Forces them to get creative and if you're a governent stooge - errrr - lawyer you wanna protect that cushy job so you've got to get even more creative.
